The BYHA is comprised of a Board of Directors (currently consisting of a President, seven Vice-Presidents, a Secretary and an appointed Treasurer and Twenty-Two Directors elected for either a one year or two year term). The President, Vice-Presidents and the Secretary comprise the Executive Committee that makes recommendations to the Board of Directors and various sub-comittees comprised of elected Directors, Parent Reps and other members. The Executive Committee is supported by the Treasurer and the General Manager.
Board of Directors
The Board of Directors shall manage or supervise the management of the affairs and business of the Corporation and may exercise all such powers and do all such acts and things as may be exercised or done by the Corporation. (By-law 7.03 Powers).
Executive Committee
The Executive Committee is charged with providing the overall direction of the BYHA (By-law 7.08 Executive Committee and Resolution 16 Executive Committee). It meets monthly except in July and reports on its activities to the Board of Directors. Executive Committee members are listed in Resolution 1.01 Executive Committee.
The Vice-Presidents
The primary function of the Vice Presidents is to see that the By-laws, Resolutions and Operation Policies and Procedures are carried out in accordance with BYHA, OMHA and CHA policy. In addition the Vice-Presidents chair each of their respective Committees and serve on the Executive Committee. (Resolution 3.05 Vice-Presidents).
The Secretary
The Secretary is the clerk of the Board of Directors, attends all meetings of the Executive and the Board, records all minutes of all proceedings and is responsible for forwarding all notices required to be given to Members and Directors and the forwarding of motions adopted by the Executive Committee to the Board of Directors. The Secretary also has signing authority with the President and/or the Treasurer (see Resolution 3.03).
The Treasurer
The treasurer is appointed by the President with a majority vote of the Board of Directors at the 1st board meeting following the AGM (Resolution 18.01 Treasurer). The Treasurer attends Executive Committee, Board meetings and the AGM in which he or she will submit financial statements (Res 3.04 Treasurer) and be available to respond to questions as they may arise.
